General Terms of Use

Operated by Hilanaw Technology Ltd., a company registered under the laws of the Federal Republic of Nigeria (“Hilanaw,” “we,” “us,” or “our”).

1. Acceptance of Terms

By creating an account, accessing, or using Hilanaw (the “Platform”), including our website, chat interface, Task Studio, community features, and WhatsApp integration, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you may not use the Platform.

These Terms should be read alongside our:

  • Privacy Policy
  • Refund Policy
  • Community Guidelines
  • AI Use Disclaimer (Section 6 below)

If there is a conflict between these Terms and a referenced policy on a specific issue, the more specific policy governs that issue.

2. Eligibility

2.1. You must be at least 18 years old to create an account or make purchases on Hilanaw. By using the Platform, you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement under Nigerian law.

2.2. Hilanaw is designed for entrepreneurs, business founders, and individuals engaging in business mentorship, learning, and venture-building activities. You must provide accurate information when registering, including your business/venture details where applicable.

3. Account Types and Roles

Hilanaw supports the following account roles:

  • Entrepreneur — the primary user role, with access to AI mentorship, curriculum, Task Studio, pitch creation, and community features based on subscription tier.
  • Investor — an account type focused on discovering entrepreneurs, requesting AI-generated reports on entrepreneurs (with their consent), and engaging via direct messaging. Investors do not have access to AI mentorship, curriculum, or Task Studio. Investor accounts also carry Sponsor privileges (Section 5) — an investor may purchase bulk subscription slots for entrepreneurs using the same account.
  • Sponsor — an individual or organization whose sole purpose is to purchase bulk subscription slots and distribute redeemable codes to entrepreneurs, as described in Section 5. A Sponsor account may exist on its own (a standalone account with no community profile, discovery access, or messaging capability) or as a privilege attached to an Investor account.

Hilanaw reserves the right to modify, merge, or retire account roles as the Platform evolves.

4. Subscription Tiers

4.1. Hilanaw offers Free, Standard, and Pro subscription tiers, each with different feature access, usage limits, and pricing (displayed in Nigerian Naira, NGN, at checkout).

4.2. Subscription fees may be billed monthly or yearly, depending on the billing cycle you select at checkout, in advance and processed through our third-party payment processor (Paystack or Flutterwave). By subscribing, you authorize recurring charges at your selected cadence until you cancel.

4.3. Hilanaw may change tier pricing or feature allocations with prior notice. Continued use after a pricing change takes effect constitutes acceptance of the new pricing.

5. Sponsor Program and Redeemable Codes

5.1. What a Sponsor Is. A Sponsor is a user or organization that purchases one or more subscription “slots” in bulk, with the intent of gifting them to entrepreneurs rather than using the subscriptions themselves. Sponsor capability is available either through a standalone Sponsor account (with no community profile, discovery, or messaging access) or as a privilege attached to an Investor account, allowing an investor to sponsor entrepreneurs without needing a separate login.

5.2. Redeemable Codes. Each purchased slot generates a unique redeemable code. The Sponsor is responsible for distributing codes to intended recipients. Hilanaw is not responsible for codes lost, shared publicly, or redeemed by someone other than the Sponsor’s intended recipient — once a valid code is redeemed, the subscription attaches to the redeeming account.

5.3. Relationship Between Sponsor and Entrepreneur. The Sponsor is the paying party and customer of record for billing purposes. The entrepreneur who redeems a code is the beneficiary of the subscription and controls their own account, content, and data independently of the Sponsor. Sponsors do not gain access to, or control over, the entrepreneur’s account, mentorship data, or Task Studio documents by virtue of sponsoring them.

5.4. Expiry. Redeemable codes may carry an expiry date, disclosed at the time of purchase. Unredeemed codes past expiry are handled per our Refund Policy.

5.5. Refunds on Sponsor Purchases. Because the Sponsor is the paying customer, refund requests for unredeemed or partially redeemed slots must come from the Sponsor, not the entrepreneur. See our Refund Policy for details on eligibility windows and conditions.

Hilanaw provides a daily free message limit to all registered users. Once this limit is reached, access to AI mentorship features is paused until the following day. Users who wish to continue beyond the daily limit may purchase a subscription.

6. Investor Features: Discovery, Pitches, and Reports

6.1. Discovery and Pitch Board. Investors may browse a discovery feed of entrepreneur profiles and pitches that entrepreneurs have chosen to make visible. Visibility of a pitch on the discovery board is controlled entirely by the entrepreneur and their subscription tier.

6.2. No Facilitation of Investment or Payments. Hilanaw’s pitch board and discovery features exist solely to facilitate introductions between entrepreneurs and investors. Hilanaw does not process investment payments, track committed capital, verify investor accreditation, or facilitate any securities offering. Any capital amount shown on a pitch is informational only and is not a binding offer. All investment discussions, due diligence, negotiation, and transfer of funds occur directly and privately between the entrepreneur and investor, entirely outside the Platform. Hilanaw is not a party to, and bears no responsibility or liability for, any investment agreement, fund transfer, or dispute arising between an entrepreneur and an investor.

6.3. AI-Generated Investor Reports. Investors with an active Investor subscription pass may request an AI-generated report on a specific entrepreneur, subject to a monthly credit limit tied to their pass tier.

6.4. Entrepreneur Consent Required. No report is generated or shared without the entrepreneur’s explicit approval. Before a report is released, the entrepreneur may review and redact specific items from the underlying data before approving. An entrepreneur may decline a report request outright, and may revoke a previously granted investor’s access to a report at any time.

6.5. Report Basis and Limitations. Reports are generated by AI from the entrepreneur’s platform activity (business context, curriculum progress, certificates, and related data) and are provided for informational purposes only. Hilanaw does not guarantee the accuracy or completeness of any report and makes no representation as to an entrepreneur’s creditworthiness, investment suitability, or business viability. Reports are not, and should not be treated as, financial due diligence, an audit, or investment advice.

7. AI-Generated Content and Mentorship Disclaimer

7.1. Hilanaw provides AI-powered mentorship, curriculum guidance, and business document generation (via Task Studio) using multiple AI providers. This content is generated to support your learning and venture-building — it is not a substitute for professional legal, financial, tax, accounting, or investment advice.

7.2. Documents generated through Task Studio (e.g., grant applications, co-founder agreements, financial projections, market sizing reports) are drafting aids only. You are solely responsible for reviewing, verifying, and — where appropriate — having a qualified professional (lawyer, accountant, etc.) review any document before relying on it, signing it, or submitting it to a third party (e.g., a grant body, investor, or government agency).

7.3. Hilanaw does not guarantee the accuracy, completeness, or suitability of AI-generated content for your specific circumstances, and is not liable for outcomes resulting from reliance on such content.

8. Community Features

All content, curriculum, frameworks, software, trademarks, and materials on the Hilanaw platform are the exclusive intellectual property of Hilanaw or its licensors. Nothing in these Terms grants you any ownership right or licence over our intellectual property.

You retain ownership of the personal information, business ideas, and content that you submit to the platform. By submitting content, you grant Hilanaw a non-exclusive, royalty-free licence to use such content solely for the purpose of providing and improving the platform and its AI capabilities.8.1. Hilanaw’s community features allow entrepreneurs to connect, message, and engage with one another. Users must comply with our Community Guidelines when interacting with others.
8.2. Hilanaw reserves the right to moderate, restrict, or remove content and disconnect users who violate community standards, engage in harassment, fraud, spam, or misuse of the platform’s connection features.

9.  WhatsApp Integration

9.1. If you opt in to WhatsApp-based nudges or reminders, you consent to receive automated messages from Hilanaw via WhatsApp, subject to daily message limits and your ability to opt out at any time.

9.2. You may opt out of WhatsApp messaging through your account settings or by following the opt-out instructions provided in any message.

10.  User Content and Ownership

10.1. You retain ownership of content you create or upload, including venture information, business documents, and Task Studio outputs.

10.2. By using the Platform, you grant Hilanaw a limited license to process, store, and use your content solely to provide and improve the service (e.g., generating AI responses, powering your curriculum progress).

10.3. You are responsible for ensuring you have the rights to any content you upload and that it does not infringe third-party rights.

11. Prohibited Conduct

You agree not to:

  • Use the Platform for unlawful purposes or to violate any Nigerian law or regulation;
  • Circumvent subscription tiers, redeemable code systems, or usage limits through unauthorized means;
  • Share, resell, or fraudulently redeem Sponsor codes;
  • Reverse-engineer, scrape, or misuse the Platform’s AI systems;
  • Harass, defraud, or impersonate other users in community features;
  • Upload malicious code or attempt to compromise Platform security.
  • Violation may result in suspension or termination of your account without refund, subject to our Refund Policy.
12. Termination

12.1. You may cancel your subscription or close your account at any time through account settings or by contacting support@hilanaw.com.

12.2. Hilanaw may suspend or terminate your access for violation of these Terms, fraudulent activity, or non-payment, with or without notice depending on severity.

12.3. Upon termination, your right to access paid features ends; certain data may be retained as described in our Privacy Policy for legal or operational reasons.

13. Limitation of Liability

To the maximum extent permitted under Nigerian law, Hilanaw and its affiliates shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform, including reliance on AI-generated content, business outcomes, or third-party actions (e.g., grant bodies, investors) taken in response to documents produced via Task Studio.

This limitation extends specifically to any investment discussion, negotiation, agreement, or fund transfer arising from a connection made through the Platform’s pitch board or discovery features. As set out in Section 6.2, Hilanaw is a connection and information facilitator only — it is not an escrow agent, broker-dealer, investment adviser, or party to any resulting transaction, and bears no liability for losses arising from investor-entrepreneur dealings conducted outside the Platform.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

In the event of a dispute arising from these Terms or use of the Platform, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within [30] days of written notice, either party may refer the matter to mediation before pursuing further action. If mediation fails to resolve the dispute, either party may proceed to litigation, and the matter shall be subject to the exclusive jurisdiction of the courts of Nigeria.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use after changes take effect constitutes acceptance.
